GalleryLogix User Agreement (Terms of Service)

1. Overview of Service

GalleryLogix is a platform designed to help artists, galleries, and collectors manage artwork inventory, track sales, and utilize AI-powered tools to extract and organize artwork data.

2. Eligibility

You must be at least 18 years old to use the Service. By using GalleryLogix, you represent that you have the legal capacity to enter into this agreement.

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity under your account.
• You agree to provide accurate and complete information.
• You may not share your account outside of permitted team seat usage.

4. Subscription Plans & Billing

GalleryLogix offers subscription-based plans.

• Subscriptions renew automatically unless canceled.
• Fees are billed in advance and are non-refundable except where required by law.
• Plan features (storage, AI credits, seats) are subject to limits.
• If you exceed plan limits, certain features may be restricted until you upgrade or reduce usage.

5. Team Seats

• Some plans allow multiple users (“Team Seats”).
• Account owners/admins are responsible for managing team access.
• You agree not to exceed the number of seats included in your plan.
• GalleryLogix may restrict access if seat limits are exceeded.

6. User Content

You retain ownership of all content you upload, including images, artwork details, and metadata (“User Content”).

By using the Service, you grant GalleryLogix a limited license to:

• Store, process, and display your content to provide the Service.
• Use content for improving features (including AI), in aggregated or anonymized form.

You are responsible for ensuring you have rights to upload and use all content.

7. AI Features

GalleryLogix provides AI-powered tools (such as artwork detail extraction).

• AI outputs may not always be accurate or complete.
• You are responsible for reviewing and verifying AI-generated data.
• GalleryLogix is not liable for decisions made based on AI outputs.

8. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes.
• Upload content you do not have rights to.
• Attempt to reverse engineer or disrupt the Service.
• Interfere with security or access controls.
• Use the Service to store harmful, abusive, or infringing content.

9. Payments & Stripe Integration

GalleryLogix uses third-party payment processors, including Stripe, to handle subscription billing and payment transactions.

a. Third-Party Payment Processing

• Payments are processed securely by Stripe.
• Your use of payment services is subject to Stripe's terms: https://stripe.com/legal.
• GalleryLogix does not store full payment card details.

b. Billing Authorization

• You authorize GalleryLogix and Stripe to charge your payment method for fees.
• You agree to keep billing information current.

c. Subscription Renewals

Subscriptions automatically renew unless canceled.

d. Failed Payments

GalleryLogix may suspend or restrict access if payments fail.

e. Refunds

Payments are non-refundable except where required by law.

f. Taxes

You are responsible for applicable taxes.

10. Apple App Store Subscriptions (If Applicable)

If you subscribe through the Apple App Store:

• Payment will be charged to your Apple ID account at confirmation of purchase.
• Subscriptions renew automatically unless auto-renew is turned off at least 24 hours before the end of the current period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period.
• You can manage or cancel your subscription by going to your Apple ID account settings after purchase.
• No cancellation of the current subscription is allowed during the active subscription period.
• Any unused portion of a free trial (if offered) will be forfeited when you purchase a subscription.

Apple is not responsible for the Service and has no obligation to provide maintenance or support.

11. Payments & Transactions (User Sales)

GalleryLogix may support invoice creation and payment tracking.

• GalleryLogix is not a marketplace or broker.
• We are not responsible for disputes between buyers and sellers.
• You are solely responsible for fulfilling transactions and complying with applicable laws.

12. Data & Storage

• Storage limits apply based on your plan.
• GalleryLogix is not responsible for data loss beyond reasonable safeguards.
• You are encouraged to maintain backups.

13. Privacy

Your use of the Service is governed by our Privacy Policy.

14. Termination

We may suspend or terminate your account if you:

• Violate these Terms.
• Engage in harmful or fraudulent activity.

You may cancel at any time. Upon termination:

• Access may be revoked.
• Data may be deleted after a reasonable period.

15. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

16. Limitation of Liability

GalleryLogix is not liable for indirect or consequential damages.

Total liability is limited to the amount paid in the last 12 months.

17. Changes to Terms

We may update these Terms. Continued use means acceptance.

18. Governing Law

These Terms are governed by the laws of the State of Florida.
